Home Service Pass Terms and Conditions

These Terms and Conditions (the "Terms") form a binding agreement between you and Home Service Pass, LLC, a Utah limited liability company ("Home Service Pass," "HSP," "we," "us," or "our"). These Terms govern your purchase, receipt, activation, and use of a Home Service Pass membership; the HSP website, mobile application, member portal, and related technology (collectively, the "Platform"); and any offers, booking requests, benefits, or services made available through HSP.
Please read these Terms carefully. By purchasing, activating, accepting, or using a membership or the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not purchase, activate, or use a membership or the Platform.
IMPORTANT: THESE TERMS INCLUDE AN ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER IN SECTION 20. EXCEPT FOR CERTAIN DISPUTES DESCRIBED THERE, YOU AND HSP AGREE TO RESOLVE DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION INSTEAD OF IN COURT.
1. Eligibility and Account Registration
You must be at least 18 years old and legally capable of entering into a binding contract to purchase or activate a membership. Memberships are intended for residential consumers and eligible residential properties located within an active HSP service area.
You agree to provide accurate, current, and complete information, including your name, contact information, service address, and payment information, and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. Notify us promptly if you believe your account has been accessed without authorization.
Unless HSP expressly approves otherwise, each membership is associated with one member household and one verified residential service address. A membership may not be resold, shared between unrelated households, or used for commercial, rental-fleet, property-management, or resale purposes. Address changes may require verification and may affect benefit availability.
2. HSP's Role and Independent Service Providers
HSP operates a membership platform that connects members with independent home-service businesses ("Providers") and makes certain member benefits available. HSP is not the contractor performing the underlying home services unless we expressly state otherwise in writing.
Providers are independent businesses and are not HSP's employees, agents, joint venturers, or franchisees. Providers control how they perform their work and are responsible for their own personnel, licensing, permits, insurance, taxes, equipment, estimates, warranties, safety practices, workmanship, and legal compliance.
HSP may screen or review Providers and may describe them as preferred, approved, trusted, or similar language. Those descriptions do not guarantee any Provider's availability, pricing, conduct, workmanship, results, continued participation, or suitability for a particular project. You remain responsible for evaluating a Provider and approving the scope, price, and terms of any paid work.
HSP is not a home warranty, insurance policy, service contract covering repair or replacement, or guarantee that a home system or appliance will remain operational. Membership fees purchase access to the HSP membership program and its then-current benefits, not insurance coverage or an entitlement to repair or replacement of property.
3. Membership Plans
HSP may offer the following plans, subject to availability and the specific terms displayed at checkout:
3.1 Full Pass
A Full Pass includes membership access for the initial period shown at checkout and eligibility for the complimentary services specifically listed for the member's service area and plan. Complimentary services are introductory benefits and do not renew or repeat when the membership later continues on a monthly basis.
After the initial Full Pass period ends, the membership automatically continues for $9.99 per month until canceled, unless different renewal terms were clearly disclosed and accepted at checkout. The continuing membership provides access to then-current HSP provider discounts, exclusive offers, member benefits, and other Platform features, but does not include a new set of complimentary services.
3.2 Annual Discount Pass
An Annual Discount Pass provides 12 months of access to then-current HSP provider discounts, offers, member benefits, and Platform features. It does not include complimentary services unless HSP expressly states otherwise in the offer.
After the initial annual period ends, the membership automatically continues for $9.99 per month until canceled, unless different renewal terms were clearly disclosed and accepted at checkout.
3.3 Monthly Discount Pass
A Monthly Discount Pass provides access to then-current HSP provider discounts, offers, member benefits, and Platform features. It does not include complimentary services unless HSP expressly states otherwise. It is billed at $9.99 per month until canceled, unless a different price was clearly disclosed and accepted at checkout.
3.4 Offer-Specific Terms
The plan description, price, service area, included benefits, promotional terms, and billing summary presented at checkout are incorporated into these Terms. If an offer-specific term directly conflicts with these general Terms, the offer-specific term controls for that transaction.
4. Complimentary Services
4.1 Availability and Expiration
Complimentary services are available only with eligible plans, at eligible properties, within participating service areas, and during the redemption period displayed in the member's account or purchase confirmation. Unless HSP expressly states otherwise, unused complimentary services expire at the end of the initial membership period and have no cash value. They do not roll over, renew, transfer, or convert into account credit.
4.2 Included Scope
Each complimentary service is limited to the scope, quantity, property qualifications, geographic limits, exclusions, and scheduling rules shown in the applicable offer or Provider profile. Conditions outside the included scope—including additional labor, materials, rooms, square footage, units, access requirements, specialty treatment, repairs, disposal, travel, taxes, permits, or requested upgrades—may cost extra.
A Provider must disclose and obtain your approval for additional paid work before performing it. You are not required to purchase an upgrade, recurring plan, repair, or additional service to receive an eligible complimentary service.
4.3 Booking and Completion
Complimentary services are subject to Provider availability, seasonality, weather, property access, safety conditions, and reasonable scheduling requirements. A booking request is not a confirmed appointment until accepted and scheduled by the Provider or HSP.
You agree to provide accurate property information, communicate reasonably with the Provider, be present when required, provide safe and lawful access, and comply with disclosed preparation instructions. A missed appointment, late cancellation, unsafe condition, inaccurate property description, refusal of reasonable access, or abuse of the benefit may result in rescheduling restrictions, a fee disclosed in advance, or loss of that redemption.
4.4 Substitutions and Changes
HSP may replace a Provider or substitute a reasonably comparable benefit when a Provider leaves the Platform, capacity is unavailable, service becomes impracticable, or circumstances outside HSP's reasonable control affect fulfillment. If HSP cannot provide a complimentary service or reasonably comparable substitute, HSP may offer an alternative benefit, account credit, prorated remedy, or other resolution that HSP determines is reasonable under the circumstances and applicable law.
5. Discounts, Offers, and Paid Services
Member discounts and offers vary by Provider, service area, project, property, timing, and availability. Unless expressly stated otherwise:
- discounts cannot be combined with other promotions;
- discounts apply only to eligible goods or services identified in the offer;
- taxes, permits, financing charges, third-party fees, and excluded items are not discounted;
- offers have no cash value and cannot be resold or transferred; and
- Providers may require an inspection or estimate before confirming eligibility or final price.
Descriptions of "retail value," "potential savings," "up to" savings, or public pricing are estimates or maximum possibilities, not guarantees. Actual savings depend on the services a member uses, Provider pricing, project scope, and other circumstances.
Paid services are governed by the estimate, work order, contract, warranty, cancellation policy, and other terms agreed upon between you and the Provider. Depending on the transaction, payment may be collected through the Platform or directly by the Provider. Before approving paid work, review the Provider's scope, price, terms, and credentials.
6. Booking Requests and Provider Communications
When you submit a booking or information request, you authorize HSP to share relevant account, contact, property, and project information with the applicable Provider so the Provider may respond, schedule, prepare an estimate, or perform the requested service.
You authorize HSP and the applicable Provider to contact you regarding your request through the contact methods you provide, subject to applicable law and your communication preferences. A request does not guarantee that a Provider will accept the job, respond within a particular time, or perform services by a particular date.
7. Membership Billing and Automatic Renewal
7.1 Recurring Billing Authorization
When you affirmatively accept an automatic-renewal offer and provide a payment method, you authorize HSP and its payment processor to charge the disclosed recurring membership fee, plus applicable taxes, to that payment method at the disclosed frequency until you cancel.
For plans that convert from an initial annual period to monthly billing, the first monthly charge will occur on or about the continuation date shown in your purchase confirmation or account. Monthly billing will then recur approximately every month until canceled.
7.2 Renewal Notices
HSP will provide notices required by applicable law. HSP may also send a courtesy reminder before an initial annual or gifted period converts to paid monthly billing. You are responsible for keeping your email address and other contact information current. Failure to open or read a properly sent notice does not invalidate a renewal or charge where permitted by law.
7.3 Price Changes
HSP may change membership prices prospectively. We will provide advance notice of a price change as required by applicable law and explain when the new price takes effect and how to cancel. Continued use or renewal after the effective date constitutes acceptance to the extent permitted by law. Where affirmative consent is legally required, we will request it before charging the new price.
7.4 Payment Failures
If a payment fails, HSP or its payment processor may retry the charge and ask you to update your payment method. HSP may suspend membership benefits while an amount remains unpaid. You remain responsible for authorized charges incurred before cancellation or suspension.
8. Cancellation
You may turn off automatic renewal or cancel a recurring membership at any time through the account settings made available on the Platform or through another cancellation method identified in your account or purchase confirmation.
Cancellation stops future recurring membership charges. Unless applicable law or an offer-specific refund policy provides otherwise, cancellation does not create a refund for a period already paid for, and membership access continues through the end of that paid period. Turning off automatic renewal during an initial prepaid annual or gifted period does not shorten that prepaid period.
Cancel before the next billing date to avoid the next recurring charge. HSP will provide a cancellation confirmation through the Platform, email, or another durable method.
9. Thirty-Day Money-Back Guarantee
An eligible membership purchase may be canceled for a refund within 30 calendar days after the original purchase date if no service or membership benefit has been redeemed or used under that membership. A complimentary-service redemption, use of a member-only discount or offer, or completed paid booking using an HSP membership benefit makes the purchase ineligible for the guarantee.
The guarantee applies to the original membership fee only. It does not refund amounts paid to a Provider, third-party fees, or charges for services already performed. Refunds are issued to the original payment method and may take time to appear based on the payment provider.
This guarantee does not limit any non-waivable refund or cancellation right provided by applicable law.
10. Gift Memberships
10.1 Eligible Gift Plans
Only prepaid annual memberships designated as giftable at checkout may be purchased as gifts. Unless HSP expressly offers otherwise, monthly memberships are not giftable.
10.2 Gift Purchaser
A gift purchase is a one-time charge to the purchaser. The purchaser will not be charged for the recipient's renewal unless the purchaser separately and expressly enrolls in a recurring-payment arrangement offered by HSP.
The purchaser is responsible for providing accurate recipient information and may not use a gift purchase for fraud, resale, or unauthorized commercial promotion. A gift membership is not active until properly claimed and activated by the recipient. Any activation deadline will be displayed at purchase or in the gift communication.
10.3 Gift Recipient Activation and Continuation
To activate a gift, the recipient must satisfy eligibility requirements, create an account, confirm an eligible service address, and accept the then-current Terms and Privacy Policy.
If the recipient chooses automatic continuation, the recipient must provide the recipient's own valid payment method and separately authorize recurring charges. After the 12-month gifted period ends, the recipient's membership will automatically continue for $9.99 per month until canceled, unless different terms were clearly disclosed and accepted during activation.
The recipient will not be charged a membership fee during the prepaid gifted period. A saved payment method may be charged during that period only for a separate paid service or purchase the recipient affirmatively authorizes. The recipient may turn off automatic renewal during the gifted period without losing access to the remainder of the prepaid gift term.
10.4 Gift Restrictions
Gift memberships are not redeemable for cash and may not be resold. Except as required by law or expressly permitted under the 30-day guarantee, refunds are issued only to the original purchaser and original payment method. Complimentary services and other benefits associated with a gift remain subject to all eligibility, address, service-area, scope, and expiration requirements.
11. Promotions, Referral Codes, and Credits
Promotions, referral codes, credits, and limited-time offers may have additional eligibility requirements and expiration dates. They may be modified or discontinued prospectively and may not be combined unless expressly allowed. HSP may reject, reverse, or cancel a promotion or credit obtained through error, duplication, manipulation, fraud, or violation of these Terms.
12. Membership and Platform Changes
Providers, discounts, offers, service areas, Platform features, and other continuing membership benefits may change over time. HSP does not guarantee that a particular Provider or discount will remain available throughout a membership term.
HSP will not retroactively remove a properly redeemed benefit, but it may change future or unused benefits when reasonably necessary for Provider capacity, safety, legal compliance, program integrity, or business operations. If a material change substantially reduces a prepaid membership's overall value, HSP will provide any notice or remedy required by applicable law.
13. Acceptable Use
You may not:
- provide false account, payment, property, or eligibility information;
- redeem the same one-time benefit more than once or through multiple accounts;
- share, sell, copy, or misuse membership codes, credentials, discounts, or offers;
- use the Platform or membership for fraud, unlawful conduct, harassment, abuse, or commercial resale;
- interfere with Platform security or operation, scrape or harvest data, introduce malicious code, or attempt unauthorized access;
- impersonate another person or misrepresent your relationship with HSP or a Provider; or
- use HSP intellectual property without written permission.
HSP may investigate suspected misuse and may suspend or terminate an account, invalidate benefits, refuse a transaction, or pursue other lawful remedies. Where reasonably practicable, we will provide notice and an opportunity to address the issue.
14. Electronic Communications and Signatures
You consent to receive agreements, disclosures, receipts, renewal notices, cancellation confirmations, and other transactional communications electronically at the email address, phone number, or account inbox you provide. You agree that electronic acceptance, checkboxes, clicks, and signatures have the same legal effect as handwritten signatures to the extent permitted by law.
Marketing communications are governed by applicable law and your communication preferences. Consent to receive marketing texts or calls is not a condition of purchasing a membership. Message and data rates may apply.
15. Privacy
Our Privacy Policyexplains how HSP collects, uses, shares, and protects personal information. By using HSP, you acknowledge the Privacy Policy. Providers may maintain their own privacy practices, and information you provide directly to a Provider may be governed by that Provider's policies.
16. Intellectual Property
The Platform and its software, design, text, graphics, logos, trademarks, videos, databases, compilations, and other content are owned by or licensed to HSP and are protected by intellectual-property laws. Subject to these Terms, HSP grants you a limited, personal, revocable, nonexclusive, nontransferable license to use the Platform for its intended consumer purpose.
You may not reproduce, distribute, modify, reverse engineer, create derivative works from, publicly display, sell, sublicense, or commercially exploit HSP content or technology except as permitted by law or written authorization.
17. Feedback, Reviews, and User Content
If you submit feedback, reviews, photos, project descriptions, or other content, you represent that you have the right to submit it and that it is accurate, lawful, and does not violate another person's rights. You grant HSP a nonexclusive, worldwide, royalty-free license to host, reproduce, format, display, distribute, and use that content to operate, improve, and promote HSP, subject to the Privacy Policy and applicable law.
HSP may remove content that violates these Terms, is misleading, infringes rights, contains private information, or is otherwise inappropriate. HSP is not obligated to publish any review or content.
18. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, MEMBERSHIP, PROVIDER INFORMATION, OFFERS, AND HSP CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." HSP DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
HSP DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE; THAT A PROVIDER WILL BE AVAILABLE; THAT A PARTICULAR SAVINGS AMOUNT, PROJECT OUTCOME, OR RESPONSE TIME WILL BE ACHIEVED; OR THAT PROVIDER INFORMATION WILL ALWAYS BE COMPLETE OR CURRENT.
NOTHING IN THESE TERMS EXCLUDES A WARRANTY, REMEDY, OR RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED.
19. Limitation of Liability and Indemnification
19.1 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HSP AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, LOST DATA, OR LOSS OF USE; OR PROPERTY DAMAGE, PERSONAL INJURY, OR OTHER LOSS ARISING FROM A PROVIDER'S ACTS OR OMISSIONS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HSP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE MEMBERSHIP, PLATFORM, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE MEMBERSHIP FEES YOU PAID TO HSP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
These limitations do not apply to liability that cannot lawfully be limited, including where prohibited for gross negligence, willful misconduct, fraud, or certain personal-injury claims.
19.2 Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless HSP and its owners, officers, employees, affiliates, and agents from third-party claims, losses, and reasonable expenses arising from your unlawful misuse of the Platform, your material violation of these Terms, your fraud or willful misconduct, or content you submit. This obligation does not require you to indemnify HSP for HSP's own negligence or unlawful conduct.
20. Dispute Resolution; Individual Arbitration; Class-Action Waiver
20.1 Informal Resolution First
Before filing arbitration or a lawsuit, the complaining party must send the other party a written notice describing the claimant's name and contact information, the relevant account, the facts and legal basis of the dispute, and the requested relief. Send notices to HSP at support@homeservicepass.com and 388 S. 900 W. American Fork, UT 84003. HSP may send a notice to the contact information associated with your account.
The parties will attempt in good faith to resolve the dispute for 30 days after receipt. Any applicable limitation period will be tolled during that 30-day period.
20.2 Agreement to Arbitrate
Except for the matters listed in Section 20.3, any dispute, claim, or controversy arising out of or relating to these Terms, a membership, the Platform, a Provider interaction facilitated through HSP, or the relationship between you and HSP will be resolved by individual binding arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules, as modified by these Terms.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitrator may award the same individual relief available in court and must follow these Terms and applicable law. Judgment on an award may be entered in a court of competent jurisdiction.
HSP will pay arbitration filing and arbitrator fees to the extent required by the AAA rules or applicable law. Each party will otherwise bear its own attorneys' fees unless a statute or the arbitrator authorizes a fee award.
20.3 Exceptions
Either party may bring an individual claim in small-claims court if it qualifies and remains individual. Either party may seek temporary or preliminary injunctive relief in a court to preserve the status quo pending arbitration. HSP may seek relief in court for infringement or misuse of intellectual-property rights, unauthorized access, fraud, or threats to Platform security. Nothing prevents either party from reporting a matter to a government agency.
20.4 No Class or Representative Proceedings
YOU AND HSP AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both parties agree, the arbitrator may not combine claims or preside over a representative proceeding.
If a final court decision finds the class-action waiver unenforceable for a particular claim or request for relief, that claim or request will proceed in court after all arbitrable claims are resolved, unless applicable law requires otherwise.
20.5 Jury-Trial Waiver
For any dispute that proceeds in court rather than arbitration, YOU AND HSP WAIVE THE RIGHT TO A JURY TRIAL to the maximum extent permitted by law.
20.6 Right to Opt Out of Arbitration
You may opt out of Sections 20.2 through 20.5 by sending written notice to 388 S. 900 W. American Fork, UT 84003 within 30 days after you first accept these Terms. Your notice must include your full name, account email, service address, and a clear statement that you opt out of arbitration. Opting out will not affect your membership or other Terms.
21. Governing Law and Venue
These Terms are governed by the Federal Arbitration Act and, to the extent state law applies, the laws of the State of Utah, without regard to conflict-of-law principles. For any dispute permitted to proceed in court, the parties consent to the state or federal courts located in Utah County, Utah, unless applicable consumer law requires another forum.
22. Suspension and Termination
You may stop using HSP at any time, subject to the billing and cancellation provisions above. HSP may suspend or terminate access for nonpayment, fraud, abuse, safety concerns, unlawful conduct, repeated violations, or a material breach of these Terms.
Termination does not eliminate payment obligations already incurred. Sections that by their nature should survive—including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions—will survive termination.
23. Changes to These Terms
HSP may update these Terms prospectively. We will post the updated Terms and revise the effective date. If a change is material, we will provide notice as required by law. Changes will not retroactively create recurring-payment authorization or materially alter a prepaid transaction without any consent required by law.
Your continued use after updated Terms take effect constitutes acceptance to the extent permitted by law. If you do not agree to an update, you must stop using the Platform and may cancel future renewal.
24. General Provisions
These Terms, the Privacy Policy, the checkout disclosures, and incorporated offer-specific terms are the entire agreement between you and HSP concerning the subject matter. They supersede prior or contemporaneous statements concerning that subject matter.
If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. HSP's failure to enforce a provision is not a waiver. You may not assign your account or rights without HSP's written consent. HSP may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or by operation of law, subject to applicable law.
HSP is not responsible for delay or failure caused by events outside its reasonable control, including severe weather, natural disasters, labor disruptions, utility or network failure, government action, public-health events, Provider incapacity, or supply shortages.
Headings are for convenience only. "Including" means "including without limitation." Electronic copies are admissible to the same extent as originals.
